Effective Date: Nov 3, 2025

Parties:
This Agreement is made between MarketNation, Inc. (DBA: “+Shop”), located at 51 E Campbell Ave, Suite 500E, and the organization or individual completing this registration (“Participant”), who may be:

1. Purpose

+Shop operates a commerce platform that supports verified nonprofit organizations (“Verified +Shop Organizations”) through the sale of goods and services. +Shop allocates a portion of its product sales as charitable donations and may provide commissions to promotional partners who help drive sales. This Agreement governs the relationships among +Shop, Verified +Shop Organizations, and Promotional Partners under +Shop’s Commercial Co-Venturer (CCV) program.

2. Status of Parties

• MarketNation, Inc. (DBA: “+Shop”)  is the Commercial Co-Venturer and donor of record.
• Verified +Shop Organizations are 501(c)(3) public charities in good standing that maintain:
  a. An active listing in the IRS Tax-Exempt Organization Search (TEOS), and
  b. A verified bank account connected through Plaid.
• Promotional Partners are independent for-profit participants who promote +Shop offers and may earn commissions or revenue from qualifying sales.

3. Donation and Commission Program

• +Shop allocates a donation amount based on stated percentage (currently 5% or more) of each qualifying sale to the Verified +Shop Organization designated by the shopper upon completion of sale.
• +Shop may also pay a separate commission or affiliate revenue to approved Promotional Partners for sales they generate. These payments are ordinary commercial income, not charitable contributions.
• All donation and commission amounts are calculated and displayed at the time of sale an in each party’s dashboard.
• Donations become eligible for disbursement once a sale is completed, shipped, and passes fraud review.
• Commissions are payable per +Shop’s affiliate payment terms.
• +Shop remains solely responsible for making charitable donations; neither the nonprofit nor the Promotional Partner handles or disburses donor funds.

4. Marketing and Representation Standards

• All Participants agree to use only +Shop-approved marketing language, brand assets, disclosures, and templates when describing or promoting the +Shop program.
• All communications must clearly identify +Shop as the donor responsible for charitable contributions.
• Prohibited Statements: “I’m selling products for [Nonprofit],” “All proceeds go to [Nonprofit],” “We’re fundraising through product sales,” or similar.
• Any misrepresentation—knowingly or otherwise—of the CCV relationship is the sole responsibility of the Participant. +Shop shall not be liable for non-compliant messaging or marketing by any Participant.

5. Required Disclosures for For-Profit Promotional Partners

• Promotional Partners who earn commissions or receive other compensation from +Shop must clearly disclose their material connection in accordance with FTC Endorsement and Advertising Guidelines.
• Approved examples include:
  • “I earn a commission from purchases made through my +Shop link.”
  • “As a +Shop partner, I receive compensation for promoting products that support charitable causes.”
• +Shop reserves the right to suspend or terminate promotional privileges for non-disclosure or non-compliance with these regulations.

6. Use of Name, Likeness, and Brand Marks

• +Shop may use the name, logo, trademarks, or likeness of Verified +Shop Organizations and Promotional Partners solely to promote +Shop’s platform, products, and charitable programs.
• Participants grant +Shop a non-exclusive, royalty-free, worldwide license to use these assets for promotional and informational purposes, including social media, press releases, advertising, and co-branded marketing.
• +Shop may also authorize approved creators or brands to reference Verified +Shop Organizations as beneficiaries of +Shop’s donations, provided such materials follow +Shop’s marketing guidelines.

7. Disbursement and Reporting

• Nonprofits may view and request disbursement of available donations through their +Shop dashboard.
• +Shop determines release timing based on transaction completion, shipping status, and fraud checks.
• Promotional Partner commissions follow +Shop’s affiliate payment schedule.
• Each party’s dashboard includes access to contribution and commission ledgers for transparency and reporting.

8. No Fundraising or Solicitation by Nonprofits

• Verified +Shop Organizations may share and promote +Shop programs but may not represent themselves as selling products or collecting donations on behalf of +Shop.
• They may not alter the donation percentage or create their own fundraising claims tied to +Shop sales.

9. Term and Termination

• This Agreement remains in effect as long as the Participant remains in good standing (Verified +Shop Organization or approved Promotional Partner).
• Either party may terminate with written notice.
• +Shop will remit any pending approved donations or commissions within 60 days after termination.

10. Compliance and Liability

• +Shop will comply with all applicable Commercial Co-Venturer registration and reporting laws.
• Participants agree to comply with all relevant advertising, tax, and charitable solicitation laws.
• Each Participant is responsible for its own taxes, licenses, and regulatory filings.
• +Shop is not liable for unauthorized statements, promotions, or representations made by Participants.

11. Entire Agreement

This Agreement constitutes the full understanding between +Shop and the Participant. No modification or waiver is valid unless agreed electronically through +Shop’s onboarding or dashboard system.

12. Electronic Acceptance

By clicking “I Agree”, the Participant acknowledges that they have read, understood, and accepted this Agreement on behalf of their organization or entity.
