Shopkeeper Program Agreement

Overview

Welcome to your +Shop (the “Shopkeepers Site”) powered by MarketNation Inc. (“MarketNation,” “MN”,  “we,” or “us”), where you can manage your marketing relationship with MarketNation.

Any person or entity that participates or attempts to participate in our Shopkeeper program (the “Shopkeepers Program,” and such person or entity, “you,” or a “Shopkeeper”) must accept this Shopkeepers Program Agreement (the “Agreement”) without change. By registering for or using the Shopkeepers Site, you agree to this Agreement and the Program Policies (defined below), which are incorporated by reference.

Plain -English Summary

  • MarketNation, Inc. operates +Shop, a for-profit marketplace where nonprofits host branded storefronts.
  • On eligible purchases through a nonprofit’s storefront, +Shop allocates a percentage of the merchandise price to that nonprofit (the “Giveback”).
  • Shoppers may add a separately stated, optional contribution that we pass through to the nonprofit.
  • Purchase payments are handled by Stripe. Nonprofit earnings and donations are disbursed via Plaid at the nonprofit’s request.
  • Givebacks are available for disbursement when the product is shipped (subject to returns/chargebacks).
  • We validate nonprofits via IRS TEOS. In California, +Shop follows AB-488 charitable-platform rules, disclosures, and timelines.
  • This document sets the legal terms, disclosures, and privacy practices for +Shop.

Definitions

“Company,” “MarketNation,” or “MN” means MarketNation Inc., operator of +Shop, a distributed marketplace enabling people to Shop with Purpose™.

“+Shop” means an online store operated by MN as a retailer, through which authorized Brand products are sold. MN manages storefront, inventory, payments, shipping, returns, taxes, and customer support.

“Shopkeeper” means a user verified and approved by MN to promote and sell Products or facilitate Donations through the +Shop under these Terms. Shopkeepers represent a nonprofit or for-profit fiduciary entity.

Giveback” means the standard 5% allocation of the merchandise price (excluding taxes, shipping, discounts, and fees) designated to benefit an eligible nonprofit or cause, subject to return or chargeback adjustments.

"Donation" or “Optional Contribution” means a separately stated, voluntary donation made by a shopper at checkout that is passed through in full (less disclosed processing fees) to the designated nonprofit.


Description of the Shopkeepers Program

The Shopkeepers Program permits you to monetize your website and/or social media user-generated content (“Site”) by placing links to +Shop. When customers click through and purchase items or make Donations, you can earn commission income on qualifying transactions, as further described in the Shopkeeper Commission Program.

We may provide you with data, images, text, widgets, APIs, and other marketing content (“Program Content”) to support your +Shop activities. Program Content excludes information relating to product offerings on non-+Shop sites.

How Givebacks Work

For each eligible purchase, MN allocates a percentage of the merchandise price (the “Giveback”) to the Shopkeeper’s designated nonprofit or fiduciary entity once the product has shipped, subject to returns or chargebacks. Shoppers may also choose to add an Optional Contribution at checkout, which MN will remit to the designated nonprofit in accordance with applicable charitable platform laws (including AB-488 in California). Givebacks and Optional Contributions are not tax-deductible to shoppers unless otherwise stated by the receiving nonprofit.

Nonprofit Participation & Verification

Participating nonprofits must be validated via IRS TEOS, be in good standing as required by law, and complete onboarding (authorized representative, Plaid setup). We may pause/remove if status changes.


+Shop Customers

All pricing, terms of sale, rules, policies, and procedures concerning customer orders, customer service, and product sales on +Shop apply to those customers and may be changed at any time. Customer data is owned by MarketNation. You may not handle customer service directly; customers must follow +Shop’s published support channels.

Payments & Disbursements

Customer payments are processed through third-party payment processors (currently Stripe). Nonprofit and Shopkeeper Givebacks or Optional Contributions are disbursed via secure payout services (currently Plaid) to verified accounts. MN may hold or batch funds to reconcile chargebacks, fraud, or unclaimed amounts and will manage all fund transfers consistent with applicable unclaimed property and charitable platform regulations.


Self-Disclosure as a +Shop Shopkeeper

You must clearly and prominently state: “As a +Shop Shopkeeper, I earn from qualifying purchases.”

Except for this disclosure (or as required by law), you may not make public statements about this Agreement or misrepresent your relationship with MarketNation.


Term and Termination

This Agreement begins upon your registration or use of the Shopkeepers Site. Either party may terminate at any time, with or without cause, on seven days’ written notice. We may terminate immediately for cause, including violations of this Agreement, the Program Policies, fraud, or reputational harm.

Accrued, unpaid commission or Giveback balances may be held for a reasonable period after termination to reconcile adjustments.

Unclaimed or Undistributed Funds

If MN cannot remit funds because the Shopkeeper or designated nonprofit cannot be verified, contacted, or onboarded after reasonable outreach, MN will manage such balances according to applicable escheat or unclaimed property laws.


Warranties

You represent and warrant that you:

  • Will comply with this Agreement, Program Policies, and applicable laws (including charitable solicitation laws such as AB-488 where applicable);
  • Are legally capable of contracting;
  • Will not misrepresent or misuse MarketNation’s services, marks, or data; and
  • Are not subject to sanctions or prohibited use under U.S. or international law.

We disclaim any warranty of traffic, sales volume, or income.


Disclaimers

The Shopkeepers Program, +Shop Site, Shopkeepers Site, Program Content, and all related materials are provided “as is” and “as available.” We disclaim all warranties, including merchantability, fitness for purpose, non-infringement, accuracy, and uninterrupted operation.

We are not liable for service interruptions, unauthorized access, data loss, or reliance damages.

No Legal or Tax Advice

MN does not provide legal, financial, or tax advice. Optional Contributions and Givebacks may not be tax-deductible to the shopper. Shopkeepers and nonprofits are solely responsible for their own reporting and compliance with tax and charitable solicitation laws.


Limitations on Liability

Neither we nor our affiliates are liable for indirect, incidental, consequential, special, or exemplary damages, even if advised of the possibility. Our aggregate liability will not exceed the total commission income or Givebacks paid or payable to you in the twelve months preceding the claim.


Indemnification

You agree to defend, indemnify, and hold harmless MarketNation, its affiliates, officers, directors, employees, and representatives from all claims, losses, damages, liabilities, costs, and expenses (including attorneys’ fees) arising from:

  • Your +Shop or Site,
  • Your materials or marketing,
  • Your violation of this Agreement or the Program Policies,
  • Your taxes or legal obligations,
  • Your negligence or misconduct, or
  • Your failure to comply with charitable, privacy, or payment regulations.

Taxes

You are responsible for all taxes arising from commissions, Givebacks, or participation in the Program. We may withhold taxes if legally required.

Tax Treatment of Donations and Givebacks

Optional Contributions transmitted to nonprofits may be eligible for charitable deductions only if the nonprofit issues a valid acknowledgment under applicable law. Givebacks, which are paid by MN and not directly by the shoppers, are not deductible by shoppers.


Governing Law and Disputes

This Agreement is governed by California law and the Federal Arbitration Act. Disputes must be resolved by binding arbitration through the AAA in San Francisco, CA (or the AAA office nearest your residence). Claims must be brought individually and not as part of a class action.

Regulatory Compliance & Charitable Platform Rules

In states where MN operates as a charitable fundraising platform or commercial co-venturer (including California under AB-488), MN will maintain required registrations, disclosures, and bonds. Participating nonprofits agree to use funds in accordance with their mission and applicable law.


Program Policies (Incorporation & Updates)

The following policies (collectively, the “Program Policies”) are incorporated into and made part of this Agreement as if fully set forth herein:

We may amend the Program Policies from time to time. Unless otherwise stated, updates take effect on posting. We will provide notice of material changes. Continued use of +Shop or participation in the Program after the effective date constitutes acceptance.

In the event of conflict, this Agreement controls. Between Program Policies, the one most directly applicable governs.

Acceptance of Terms

By using +Shop (including creating an account, running a Storefront, or completing a purchase), you agree to these Program Policies.


Confidential Information

All non-public information provided by MarketNation is confidential and must not be disclosed, except as required for performance under this Agreement. This duty survives termination for five years.


Relationship of the Parties

You and MarketNation are independent contractors. Nothing in this Agreement creates a partnership, joint venture, or agency. You have no authority to bind MarketNation.


Amendments and Notice of Changes

MarketNation (“+Shop”) may modify these Terms or related Program Policies at any time to reflect operational, legal, or regulatory updates. Any material change will be posted on the +Shop Legal page with the “Last Updated” date revised accordingly. Where required by law, +Shop will provide additional notice (such as email or in-account notification) before changes take effect. Continued use of +Shop Services or participation in the Shopkeeper Program after the effective date constitutes acceptance of the updated terms.
