Shopkeeper Program Trademark Guidelines

These Trademark Guidelines govern the use of MarketNation marks (“MarketNation Marks”) provided as part of Program Content under the Shopkeeper Program. Strict compliance is required. Any misuse automatically terminates your license to use the MarketNation Marks.


Definitions

  • “Company” or “MarketNation” or “MN” means MarketNation Inc., operator of +Shop, a distributed marketplace enabling people to Shop with Purpose™
  • “+Shop” means an online store operated by MN as a retailer, through which authorized Brand products are sold. MN manages storefront, inventory, payments, shipping, returns, taxes, and customer support. 
  • “Shopkeeper” means a user verified and approved by MN to promote and sell Products or facilitate Donations through the +Shop under these Terms. Shopkeepers represent a nonprofit or for profit fiduciary entity.

1. Permitted Use

  • You may display MarketNation Marks (e.g. +SHOP, +SHOPS, SHOP WITH PURPOSE) only on your +Shop site and only to advertise product availability.

2. Compliance Requirements

  • Your use must comply with the latest version of these Guidelines and all other applicable Program Documents.

3. Prohibited Uses

You may not use MarketNation Marks:

  • beyond purposes authorized under Program Documents;
  • in ways that imply endorsement or sponsorship by MarketNation;
  • to disparage MarketNation, its products, or services;
  • in a manner that may damage or diminish MarketNation’s goodwill;
  • in offline materials or in emails (including print, mailings, SMS, MMS, attachments, or oral solicitations).

4. Brand Integrity and Presentation

  • MarketNation will supply official Mark images. You may not alter them (no changes to proportion, color, font, or design).

  • Each MarketNation Mark must appear alone, with adequate spacing, and not on backgrounds that reduce readability or clarity.


5. Ownership of Rights

  • All rights to the MarketNation Marks remain with MarketNation.
  • All goodwill from your use inures exclusively to MarketNation.
  • You may not take any action conflicting with MarketNation’s ownership.

6. Third-Party Trademarks

  • You may not display third-party seller/vendor trademarks on a MarketNation +Shop site in connection with any special link unless you have prior written authorization from the trademark owner.

7. Registrations / Confusingly Similar Marks

  • You may not register or apply to register any trademark, domain, subdomain, username, or app name that is identical or confusingly similar to a MarketNation Mark in any jurisdiction.

8. Enforcement & Modifications

  • MarketNation may update these Guidelines or the approved Marks at any time by posting updates on the Shopkeepers site.
  • MarketNation may take action, including termination of license, for any unauthorized or non-conforming use.

9. Correct Form & Symbol Use

  • Always use the MarketNation Marks in their proper form, including capitalization and trademark symbols (™ or ® as applicable).
  • Marks must be used as adjectives, never as nouns or verbs.

10. Prevent Dilution & Genericization

  • You must not use MarketNation Marks in a way that makes them generic or diminishes distinctiveness.
  • Always pair the Mark with a descriptive term (e.g. “MarketNation +Shop link”), and never use the Mark alone as a product description.

11. Audit & Compliance

  • MarketNation may monitor and audit your use of the Marks.
  • You must promptly correct or remove any non-compliant usage upon notice.
  • Failure to comply may result in immediate termination of your license.

 

Conflict of Terms

In the event of any inconsistency or conflict between this Policy and the Shopkeeper Program Agreement, the terms of the Shopkeeper Program Agreement shall govern and control. This Policy is incorporated into and subject to the Shopkeeper Program Agreement and the other Program Policies referenced therein.
