Shopkeeper Program IP License

This Shopkeeper Program IP License (“License”) governs your use of Program Content provided by MarketNation Inc. (“MN”) in connection with your participation in the Shopkeepers Program. By accessing or using Program Content, including proprietary application programming interfaces and other tools (collectively, the “PA API”), you agree to the terms of this License.

Definitions

  • “Company” or “MarketNation” or “MN” means MarketNation Inc., operator of +Shop, a distributed marketplace enabling people to Shop with Purpose™. 
  • “+Shop” means an online store operated by MN as a retailer, through which authorized Brand products are sold. MN manages storefront, inventory, payments, shipping, returns, taxes, and customer support. 
  • “Shopkeeper” means a user verified and approved by MN to promote and sell Products or facilitate Donations through the +Shop under these Terms. Shopkeepers represent a nonprofit or for profit fiduciary entity.
  • “Program Content” means any data, images, audio, video, logos, designs, text, product information, user interface designs, creative materials, specifications, software, and other content, including MarketNation Marks, that MN makes available to you in connection with the Shopkeepers Program.

1. Limited License to Program Content

MN grants you a limited, revocable, non-transferable, non-sublicensable, non-exclusive, royalty-free license to:

  • Copy and display Program Content solely on your +Shop.
  • Use MarketNation Marks (as defined in our Trademark Guidelines) solely in accordance with this License, the Specifications, and the Trademark Guidelines.

You may use Program Content only to direct customers to MarketNation +Shop product pages and may not link Program Content to non-MarketNation sites.

This License terminates automatically if you fail to comply with Program Policies or upon termination of the Agreement. MN may also terminate this License at any time by written notice. Upon termination, you must immediately remove and delete all Program Content and MarketNation Marks.

2. Usage Requirements

Program Content may include data, images, audio, video, logos, designs, and product text. You agree to:

  1. Use Program Content only for lawful purposes and only to advertise or market MarketNation +Shop products and services.
  2. Follow all Program Policies, Specifications, and guidelines provided by MN.
  3. Link each use of Program Content directly to the relevant MarketNation +Shop product or detail page.
  4. Not use Program Content in mobile apps or third-party services without MN’s prior written consent.
  5. Not aggregate, analyze, extract, or repurpose Program Content without approval.
  6. Not interfere with the operation of the +Shop or use Program Content for spam, direct marketing, or unsolicited contact.
  7. Not remove or obscure intellectual property notices within Program Content.
  8. Not alter, reverse engineer, disassemble, or create derivative works of any Program Content software or specifications.
  9. Not store or cache Product Content images; links to images may be stored for up to 24 hours.

2.10 Placement & Link Integrity

You must place Program Content so it does not mislead Users and is reasonably likely to drive genuine customer transactions. If MN updates or retires Program Content or links, you must promptly update or remove affected materials.

2.12 Sub-publishers

This License is non-sublicensable. You may not permit any third party (including sub-publishers) to use Program Content except with MN’s prior written consent and subject to terms MN approves in writing.

2.15 Paid Search & Brand Use

Unless expressly permitted in writing, you may not bid on MN’s trademarks, brand terms, or misspellings in paid search. You may not use Program Content in ads that imply a relationship or sponsorship beyond what this License allows. All use of MarketNation Marks must follow MN’s Trademark Guidelines.

2.17 Legal Compliance & Privacy

You must comply with all applicable laws, regulations, and self-regulatory rules, including those governing marketing, privacy, and consumer protection. You must provide legally required notices and obtain consents for cookies or tracking technologies, and maintain a publicly available privacy policy describing your data practices in connection with Program Content and links.

3. Reservation of Rights and Submissions

Except for the limited rights granted in this License, MN retains all rights, title, and interest in the Shopkeepers Program, Program Content, MarketNation Marks, domains, technology, and related intellectual property.

If you provide suggestions, modifications, or other materials related to the Program (“Your Submissions”):

  • You assign to MN all rights, title, and interest in Your Submissions.
  • You grant MN a royalty-free, worldwide, perpetual license to use, reproduce, adapt, publish, distribute, and create derivative works of Your Submissions.
  • You warrant that Your Submissions are original or lawfully obtained and that MN’s use will not infringe third-party rights.
  • You agree to assist MN in documenting and maintaining its rights in Your Submissions.

 

Conflict of Terms

In the event of any inconsistency or conflict between this Policy and the Shopkeeper Program Agreement, the terms of the Shopkeeper Program Agreement shall govern and control. This Policy is incorporated into and subject to the Shopkeeper Program Agreement and the other Program Policies referenced therein.
