This Influencer Program Policy (“Policy”) details the terms of the Shopkeepers Influencer Program, which is part of your affiliate marketing relationship with MarketNation Inc. (“MN”). By registering and participating, eligible Shopkeepers acting as social influencers (“Influencers”) agree to comply with this Policy, the Shopkeepers Program Terms, and all applicable laws.
The Shopkeepers Influencer Program may help you earn commission income by acting as a social media presence facilitating customer purchases and Donations as part of the Shopkeepers Program.
Definitions
- “Company” or “MarketNation” or “MN” means MarketNation Inc., operator of +Shop, a distributed marketplace enabling people to Shop with Purpose™.
- “+Shop” means an online store operated by MN as a retailer, through which authorized Brand products are sold. MN manages storefront, inventory, payments, shipping, returns, taxes, and customer support.
- “Shopkeeper” means a user verified and approved by MN to promote and sell Products or facilitate Donations through the +Shop under these Terms. Shopkeepers represent a nonprofit or for profit fiduciary entity.
1. Registration and Eligibility
(a) Registration Information
To register, you must complete all required information accurately, including granting requests to access data about your social media presences. MN may request additional information to verify your identity or organization.
(b) Eligibility as a Shopkeeper
- Generally speaking, Shopkeepers can be Schools & Nonprofits, Creators & Influencers or even Brands & Brand Partners
- All Influencers that wish to be a Shopkeeper must be verified and approved by MN.
- Schools and nonprofits will be verified through Guidestar; organizations not listed may be approved if they operate under a Guidestar-listed parent organization.
- MN reserves the right, in its sole discretion, to approve or disapprove any applicant.
(c) Influencer +Shop
You may be assigned an Influencer +Shop Site (“Influencer +Shop”), which is considered a “Service Offering” under the Agreement.
(d) Content Standards
You will not submit Influencer Content (text, images, compilations, lists, videos, or other data) that contains:
- Unsupported languages
- Repetitive text, spam, or symbol pictures
- Private or personal information
- Profanity, harassment, hate speech, sexual content
- External links, ads, conflicts of interest, promotional content
- Plagiarism, infringement, impersonation, or illegal activities
(e) Marketing
You may promote your Influencer +Shop in emails or social media, provided such promotion complies with applicable laws (e.g., CAN-SPAM Act, FTC Endorsement Guides) and MN’s Shopkeeper Program IP License and Shopkeeper Program Trademark Guidelines. All promotions must include clear disclosures (e.g., “#ad” or “#sponsored”). MN may revoke offline marketing permissions at its sole discretion.
2. Verification and Payment Eligibility
- Payouts will only be made to a bank account corresponding to the EIN of the verified and approved organization.
- Payments will only be issued to verified Shopkeeper accounts.
- MN may request documentation to confirm eligibility at any time.
3. Tracking, Attribution, and Reporting
- Commissions are earned only on Qualifying Actions, defined as valid, completed purchases or Donations processed through the +Shop and attributed to the Influencer by MN’s tracking systems (e.g., unique links, codes, or IDs).
- MN’s records are final and conclusive in determining commissions owed.
- Shopkeepers will have access to dashboards or statements showing all transactions, statuses (pending, locked, paid), commission rates, and totals.
- Any dispute regarding reported transactions must be raised within 30 days; otherwise, MN’s records are final.
4. Compensation and Commission
(a) Commission Structure
- Influencers who are approved as Shopkeepers earn commission on qualifying purchases of goods and Donations in the +Shop.
- Commission is 5% minimum, up to 20%, with higher rates possible for special items.
- The commission that will be awarded to an Influencer is visible on each product page leading to a transaction.
(b) Locking and Adjustments
- Transactions may be subject to a Locking Period (e.g., 30–60 days) for verification against fraud, returns, or chargebacks.
- Commissions are not paid on canceled, refunded, or invalid transactions.
- MN may claw back overpaid commissions from future payouts.
(c) Donation Fee
- Donations will incur a 5% processing fee, inclusive of payment processor charges.
(d) Payout
- Commissions are paid at MN’s discretion but no less frequently than monthly.
- Payments are made only to verified accounts linked to the approved EIN.
(e) Reward / Commission Caps
- MN may impose limits or caps on the aggregate amount of commissions payable to an Influencer in any calendar year or promotional period. Such limits will be disclosed in advance.
(f) Non-Transferability
- Commissions and program benefits are non-transferable, non-assignable, and may not be bartered or sold.
(g) Tax Responsibility
- MarketNation does not provide tax advice. Influencers are solely responsible for reporting and paying any applicable income, self-employment, or other taxes arising from commissions, and should consult their own tax advisor.
- MN does not withhold taxes unless legally required.
5. Rights and Licenses
(a) Reservation of Rights
MN retains all rights, title, and interest in the Influencer +Shop, including its URL, design, content, and functionality. Influencers gain no ownership by virtue of participation.
(b) Use of Influencer Marks
By accepting this Policy, you grant MN a non-exclusive, worldwide, royalty-free license to use your name, photo, logo, and trademarks (“Influencer Marks”) for purposes of the Program. MN may reformat or resize such marks but will not alter them in substance.
(c) Use of Influencer Content
Influencer Content may be displayed by MN on the +Shop or other MN properties. MN reserves the right to reject, remove, suspend, or restore any or all Influencer Content at any time.
6. Influencer Obligations
Influencers must:
- Promote MN truthfully, without misrepresentation.
- Use FTC-compliant disclosures (#ad, #sponsored).
- Avoid spam, bots, paid search misuse, or trademark bidding without written consent.
- Not engage in any activity that could harm MN’s reputation.
7. Fraud and Misuse
- If MN determines, in its sole discretion, that an Influencer has engaged in misuse, abuse, or fraud, MN may cancel pending commissions, claw back amounts already paid, and terminate participation.
- Examples include self-purchases, fake traffic, incentivized clicks, and misleading promotion.
8. Indemnification
You agree to defend, indemnify, and hold harmless MN, its affiliates, employees, and partners from any claims, damages, or liabilities arising from your participation, Influencer Content, or breach of this Policy.
9. Termination
- MN may suspend or terminate your participation at any time, with or without cause.
- Influencers may terminate by written notice.
- Upon termination, only locked and eligible commissions will be paid.
- Rights granted to MN under Section 5 survive termination, except MN will use commercially reasonable efforts to remove Influencer Marks from public-facing properties.
10. Disclaimer and Limitation of Liability
- MN makes no guarantee of earnings, sales, or commissions.
- To the fullest extent permitted by law, MN is not liable for indirect, incidental, or consequential damages related to the Program.
11. Amendments and Notice of Changes
MarketNation (“+Shop”) may modify these Terms or related Program Policies at any time to reflect operational, legal, or regulatory updates. Any material change will be posted on the +Shop Legal page with the “Last Updated” date revised accordingly. Where required by law, +Shop will provide additional notice (such as email or in-account notification) before changes take effect. Continued use of +Shop Services or participation in the Shopkeeper Program after the effective date constitutes acceptance of the updated terms.
12. Governing Law and Dispute Resolution
- This Policy is governed by the laws of the State of California.
- Any dispute must be raised within 30 days of appearing in MN’s records.
- Disputes will be resolved according to the Affiliate Agreement’s dispute resolution mechanism.
- Claims must be brought individually; class or collective actions are not permitted.
Conflict of Terms
In the event of any inconsistency or conflict between this Policy and the Shopkeeper Program Agreement, the terms of the Shopkeeper Program Agreement shall govern and control. This Policy is incorporated into and subject to the Shopkeeper Program Agreement and the other Program Policies referenced therein.
